RAPID TASK PRO TERMS OF USE SERVICE PROVIDER ADDENDUM

This Rapid Task Pro Terms of Use Service Provider Addendum (“Addendum”) incorporates and supplements Rapid Task Pro’s Terms of Use, which are available on the Rapid Task Pro home page (“Terms of Use”), as may be modified from time to time and constitutes the entire agreement between the Parties and supersedes all prior agreements, understandings, statements, proposals, written or oral, between the Parties. This Addendum shall control in the event of inconsistency or conflict between the Addendum and the Terms of Use. All capitalized terms which are not otherwise defined herein are outlined in the Terms of Use.

  • 1. You affirm and guarantee that you meet the criteria as a "Service Provider," signifying that upon approval, you either (i) hold a valid license as a Service Provider in the United States, if such licensure is requisite, or (ii) have received acceptance from Rapid Task Pro to deliver Service Provider Services on its online platform ("Enrolled Service Provider"). This platform serves as the medium through which individuals ("Rapid Task Pro Consumers") seek to avail themselves of your Service Provider Services on RapidTaskPro.com ("Platform"). It is incumbent upon you to consistently adhere to these Terms of Use and comply with all pertinent laws and regulations governing your status as a licensed Enrolled Service Provider while utilizing the Rapid Task Pro Platform.
  • 2. Enrolled Service Providers Process:
    • a. Rapid Task Pro Consumer Service Providers interested in signing up will apply to Rapid Task Pro and provide their basic information. During the application process, Service Providers need to submit their contact information, Service Providers have the option to select the services they wish to offer and, if desired, create deals and vouchers as part of their offerings
    • b. Rapid Task Pro may require new Service Providers to furnish details about their professional experience, which may include a description of their services, showcase pictures of their work, provide licenses for their operations, select the types of animals they service, provide their Office Locations and hours, set forth their days and times for appointments, and disclose the Primary Practitioners, if applicable.
    • c. Service Provider has the option to provide information about the Pet Services they offer, set their own service offerings and prices, determine available time slots at their discretion, and specify the areas they choose to serve.
    • d. In addition to the above, Rapid Task Pro may offer practice management and marketing software solutions in the future, which are expected to include Customer Relationship Management (CRM) functionalities and client management tools. These anticipated features may eventually enable Service Providers to send text messages or emails, manage appointments, and provide reminders. While these capabilities are not yet fully available, Rapid Task Pro reserves the right to implement them at a later date.
    • e. As a condition of participation on the Rapid Task Pro Platform, Service Providers may be subject to background checks, identity verification, license verification, or other screening procedures as determined by Rapid Task Pro in its sole discretion. By applying to become an Enrolled Service Provider, you agree to submit to such verification processes as a condition of being listed on the Platform. Failure to comply with any verification request or the discovery of disqualifying information may result in denial or termination of your access to the Platform.
  • 3. The Rapid Task Pro Platform allows Rapid Task Pro Consumers to upload documents (such as vaccination records) for secure storage and sharing with Service Providers. Service Providers acknowledge and agree that any documents shared by Rapid Task Pro Consumers may contain personally identifiable information (PII) related to the Rapid Task Pro Consumers and their pets. While veterinary and pet-related data is not governed by HIPAA, Service Providers are expected to treat such information with the same standard of care and confidentiality applicable to sensitive consumer data. Service Providers shall handle all shared information in accordance with applicable privacy laws, Rapid Task Pro’s privacy policy, and industry best practices. Service Providers must ensure that any shared information is used only for the intended purpose of providing services to the Rapid Task Pro Consumer and is not disclosed or shared outside the Rapid Task Pro Platform.
  • 4. At present, the Rapid Task Pro Platform does not support the generation or transmission of invoices or service records by Service Providers. Invoices for services rendered will generally be provided by Rapid Task Pro’s third-party payment processor (such as Stripe). Otherwise, it is the responsibility of the Service Provider to generate and/or provide such records to the Rapid Task Pro Consumer outside the Platform. If and when the Platform adds support for recordkeeping or in-app messaging, Service Providers agree to handle such data securely and in compliance with Rapid Task Pro’s Terms of Use and privacy policies. All consumer data received or maintained by Service Providers shall be treated as confidential and used solely for the purpose of providing services requested by the Rapid Task Pro Consumer.
  • 5. On the Rapid Task Pro Platform, You will have access to Appointment opportunities in Your capacity as a Service Provider (“Appointments”). You understand and agree that You are not eligible to receive or accept Appointments from Rapid Task Pro Platform Consumers unless You are located in the United States of America, and all work performed by You for the particular Appointment will be performed within the United States of America. Moreover, You acknowledge and agree that You will only accept Appointments for work you believe You are qualified to perform. Appointment availability will vary based on demand and capacity and is subject to change without notice. You shall provide the necessary equipment and software to complete any Appointment.
  • 6. Rapid Task Pro will allow you to fulfill Appointments requested by Rapid Task Pro Consumers. Rapid Task Pro may discontinue Your use of the Service Provider Services for any reason, in Rapid Task Pro’s sole and absolute discretion. You agree that You will respond to any requests made by Rapid Task Pro to You within 24 hours of a request from Rapid Task Pro. If You fail to respond promptly, Rapid Task Pro may terminate any agreements with You and deny You access to future Appointments. If, for any reason, You should cease to qualify as a Service Provider that is in good standing, You shall immediately notify Rapid Task Pro at support@RapidTaskPro.com and cease Your use of the Service Provider Services.
  • 7. For every Appointment that You elect to accept and perform, You agree to:
    • a. Perform the Appointment in a professional, timely, and accurate manner consistent with these Terms for the particular Rapid Task Pro Consumer as Your Rapid Task Pro Consumer (“Client”) in Your role as an independent Service Provider; and
    • b. Prepare any and all schedules, sessions and Services required by the Rapid Task Pro Consumer, as determined solely by You in your capacity as an independent Service Provider, to complete the Appointment.
  • 8. About Fees and Payment
    • a. There are no fees or charges for Your initial signup on the Rapid Task Pro Platform.
    • b. Subscription Fees:
      • i. Upon subscribing to the Platform ("Subscription"), you may be offered a trial period, the duration of which is subject to change. During this trial period, you can avail yourself of the Platform's features free of charge. If you decide to cancel your subscription during the trial period, the payment information you provided will not be charged. However, if the subscription is not canceled within the trial period, the applicable Subscription Fee may be automatically charged to the payment method you supplied during the registration process.
      • ii. When applicable, Monthly Subscriptions will automatically be renewed at the end of the Subscription term unless you cancel your renewal during your Subscription period. Monthly Subscription can be cancelled for the upcoming month, but no refund will be given for prior months.
      • iii. If your payment method fails or your account is past due, Rapid Task Pro reserves the right to either suspend or terminate your optional Subscription Services. Any such suspension or termination will result in the cancellation of any promotional programs applicable to your Services. You agree to submit any disputes regarding any charge to your account in writing to Rapid Task Pro within sixty (60) days of such charge, otherwise such dispute will be waived and such charge will be final and not subject to challenge.
      • iv. Price Adjustment Notice: In the event of a future increase in the monthly Subscription fee, the Subscriber shall be provided with a written notice at least 30 days prior to the implementation of the new pricing. This notice will be sent to the contact information provided by the Subscriber during the registration process. The Subscriber shall have the option to terminate the Subscription before the new pricing takes effect.
  • 9. Terminations:
    • a. If the Subscriber chooses to terminate the Subscription, the termination must be communicated to the Company in writing or through the designated cancellation process on the Platform before the end of the 30-day notice period. In such a case, the Subscriber will not be charged the increased fee and will be billed the current Subscription fee for the subsequent billing cycle. Failure to terminate the Subscription within the notice period will be construed as acceptance of the new pricing, and the increased Subscription fee will be automatically charged to the Subscriber's designated payment method starting from the next billing cycle.
    • b. All payments and fees for Your use of the Rapid Task Pro Platform shall be made through a third-party Service Provider. You may also be required to pay fees and charges to others in connection with Your use of the Rapid Task Pro Platform. Your mobile Service Provider or Internet service Service Provider may impose charges for using Your device in connection with using the Rapid Task Pro Platform, including fees for data transmissions and/or other charges. It is Your responsibility to understand and pay for all such charges.
  • 10. You represent and warrant that You are fully authorized and empowered to accept and honor these Terms and that the performance of the obligations under these Terms will not violate or infringe upon the rights of any third party or violate any agreement between You and any other person, firm or entity, or any law or governmental regulation. Specifically, You represent that You are not subject to, or in violation of, any non-compete or similar provision with any third party, individual or entity through Your use of the Rapid Task Pro Platform. You further represent and warrant that You will only use information and data provided by Rapid Task Pro Consumers as is necessary to effect, administer, or enforce the Service Provider Services requested by the Rapid Task Pro Consumer.
  • 11. You agree to indemnify, defend, and hold Rapid Task Pro and its affiliates, and their respective officers, directors, agents, and employees, harmless from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, liabilities (whether actual or contingent), and expenses, including reasonable attorneys' fees and costs, arising out of or relating to Your violation of any non-compete or other restrictive covenant that You may have with any third party, individual or entity, through Your use of the Rapid Task Pro Platform.
  • 12. NON-DISCLOSURE AND CONFIDENTIALITY. WITH RESPECT TO RAPID TASK PRO APPOINTMENTS, YOU AGREE TO KEEP CONFIDENTIAL AND NOT TO DISCLOSE OR MAKE KNOWN TO THE PUBLIC, THE RAPID TASK PRO CONSUMER, OR ANY OTHER PERSON YOUR RELATIONSHIP WITH THE RAPID TASK PRO CONSUMER. YOU ACKNOWLEDGE AND AGREE THAT IN THE EVENT OF YOUR BREACH (WHETHER ACTUAL, IMPLIED OR THREATENED) OF THIS PROVISION, RAPID TASK PRO’S CONSUMER’S REMEDIES AT LAW WILL BE INADEQUATE. ACCORDINGLY, YOU ACKNOWLEDGE AND AGREE THAT IN SUCH EVENT, RAPID TASK PRO SHALL HAVE THE RIGHT TO SPECIFIC PERFORMANCE AND/OR INJUNCTIVE RELIEF WITHOUT BEING REQUIRED TO SHOW ANY ACTUAL DAMAGE TO RAPID TASK PRO OR TO POST AN INJUNCTION BOND IN ADDITION TO ANY AND ALL OTHER REMEDIES AND RIGHTS AT LAW OR IN EQUITY, ALL OF WHICH SHALL BE CUMULATIVE.
  • 13. WE ARE MERELY A REFERRAL SERVICE AND WILL RETAIN A REFERRAL FEE FROM ALL TRANSACTIONS CONDUCTED THROUGH THE RAPID TASK PRO PLATFORMS. YOU UNDERSTAND AND AGREE THAT RAPID TASK PRO IS NOT A PARTY TO ANY AGREEMENTS ENTERED INTO BETWEEN YOU AND RAPID TASK PRO CONSUMERS, AND RAPID TASK PRO HAS NO CONTROL OVER THE CONDUCT OF EITHER RAPID TASK PRO CONSUMERS OR YOU OR ANY INFORMATION PROVIDED IN CONNECTION THERETO AND DISCLAIMS ALL LIABILITY IN THIS REGARD. AS A REFERRAL SERVICE, WE ARE NOT AND DO NOT HOLD OURSELVES OUT TO BE A SERVICE PROVIDER OR AN ENROLLED SERVICE PROVIDER. WE MAKE NO REPRESENTATIONS REGARDING THE QUALITY OF WORK YOU WILL PERFORM, THE DISCRETION EXERCISED BY YOU AND ANY OTHER THIRD PARTY YOU ENGAGE.
  • 14. YOU ARE A THIRD-PARTY INDEPENDENT CONTRACTOR AND NOT AN EMPLOYEE OF RAPID TASK PRO. REPRESENTATIONS MADE BY YOU ARE NON-BINDING ON RAPID TASK PRO. YOU ARE NOT A RAPID TASK PRO EMPLOYEE OR AGENT, AND YOU HAVE NO AUTHORITY TO ACT ON RAPID TASK PRO’S BEHALF OR HOLD YOURSELF OUT AS A RAPID TASK PRO EMPLOYEE OR AGENT. YOU ARE FREE TO ACCEPT OR REJECT APPOINTMENTS IN YOUR SOLE DISCRETION. REPRESENTATIONS MADE TO AND APPOINTMENTS PERFORMED FOR RAPID TASK PRO CONSUMERS WILL BE RELIED UPON BY THE RAPID TASK PRO CONSUMERS SOLELY BASED ON THE SERVICES THAT YOU PERFORMED.
